Transaction
In an Over-the-Counter (OTC) crypto transaction, such as the scenario you're describing where an OTC desk is buying USDT (Tether) from a seller seeking to convert it into fiat (USD), the process can be a bit different from standard exchange-based transactions. OTC desks are typically involved in facilitating large transactions and they usually serve as intermediaries for these transactions. Here's how the process typically unfolds, step by step:

1. *Initial Agreement*
- *Buyer (OTC Desk) and Seller (Wallet Owner) Agree on Terms:*
- The buyer (OTC desk) and seller (individual with USDT) negotiate the transaction details, such as the amount of USDT to be sold, the price (which may differ from market price based on the size of the transaction), and the fiat currency they are targeting (USD, for example).
- They will also agree on payment method (e.g., wire transfer, ACH, or other means of sending fiat).
2. *Proof of Funds / Proof of USDT Control*
- *Buyer (OTC Desk) Provides Proof of Funds:*
- The OTC desk, in this case, would provide proof that they have sufficient funds in their bank account or other fiat sources to complete the purchase of the USDT. This may involve sending a statement or showing a balance, typically through a secure and confidential process.
- *Seller Proves Control of USDT Wallet:*
- The seller demonstrates that they own the USDT by showing proof of control over the wallet where the USDT is stored. This could be through a transaction history, or the seller may perform a test transaction (e.g., sending a small amount of USDT to an address provided by the OTC desk) to prove they have access to the funds.

3. *Escrow-Free Transactions:*
- *No Escrow Involved in Some Cases:*
- In an escrow-free OTC trade, the parties rely on mutual trust, especially since the OTC desk often works with high-volume clients and may have an established reputation. This is a risk the buyer (OTC desk) and seller accept when transacting directly.
- *Transaction Setup:*
- Once both parties have agreed to the terms and verified their assets, they would finalize the arrangement. The seller will share the wallet address where the USDT will be sent.
4. *Fund Transfer and Confirmation*
- *Seller Transfers USDT:*
- The seller transfers the agreed amount of USDT to the OTC desk’s specified wallet address. This typically happens via a blockchain transaction, and the seller may use a wallet interface to send the USDT.
- At this stage, the seller should provide the OTC desk with the transaction details (such as the TXID) so they can confirm the transfer.
- *Buyer Confirms Receipt of USDT:*
- The OTC desk verifies that the USDT has been successfully received on their wallet. This confirmation may take some time depending on network congestion and blockchain speed (especially with Ethereum or other layer-1 blockchains).
- After confirming the receipt, the OTC desk moves to the next step.

5. *Payment to the Seller*
- *OTC Desk Sends Fiat to the Seller:*
- Upon receiving the USDT, the OTC desk sends the agreed-upon amount of fiat (USD, in this case) to the seller via the agreed-upon method. The fiat transfer is typically done using a wire transfer, bank transfer, or another fiat payment method that the seller prefers.
- This step is crucial because, once the USDT is transferred, the OTC desk will hold the crypto, and they now need to send the fiat currency to the seller.
6. *Transaction Completion*
- *Confirmation of Payment:*
- The seller confirms receipt of the fiat currency in their bank account or other chosen method.
- *Transaction Finalized:*
- After the seller confirms the payment, the transaction is considered complete.
- Both parties can provide feedback, depending on the platform or agreement, although in a direct OTC deal, trust and good faith are critical.

7. *Record Keeping and Compliance:*
- *Reporting and Documentation (for OTC Desk):*
- OTC desks typically keep records of all transactions for regulatory compliance purposes, including Know Your Customer (KYC) and Anti-Money Laundering (AML) protocols, especially when large sums of money are involved.
- *Seller Records Transaction (for Tax Purposes):*
- The seller should also maintain records of the transaction for tax purposes, as converting crypto into fiat often triggers a taxable event (capital gains, etc.).
---
Key Considerations:
- *Trust Between Parties:*
- In the absence of escrow services, both the buyer and the seller are relying on the trust between them, or trust in the OTC desk itself (which is typically a professional intermediary in this scenario).
- *Reputation:*
- The OTC desk will generally have a solid reputation in the market, and many sellers will trust them because they know the OTC desk is a professional entity.
- *Risk Mitigation:*
- Some OTC desks may provide a form of security or guarantee through the use of their platform’s internal mechanisms (such as a signed agreement), but in general, these transactions are heavily based on trust.
